Acceptance
By accessing or using Duncet, you agree to these Terms. If you do not agree, do not use the platform.
Eligibility
You must have the authority to bind the organization you represent in order to use Duncet on its behalf.
Accounts
You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account.
Platform
Duncet provides tools to help identify, structure and track financial obligations contained in contracts, and to connect them to related workflows.
Contract Processing
You represent that you have the right to upload or connect the contracts and documents you provide to Duncet for processing.
AI Outputs
Duncet uses AI to help interpret contract language. AI-generated outputs are estimates, may contain errors, and should be reviewed by a qualified person where accuracy matters. Duncet does not provide legal advice and is not a law firm.
Financial Workflows
Duncet helps structure and surface financial obligations. Except where explicitly implemented and authorized by you, Duncet does not itself execute payments or move money.
Third-Party Systems
Where you connect third-party systems (such as ERP, accounting, procurement or payment systems), your use of those systems remains subject to your agreements with those providers.
Authorized Actions
Actions that affect connected financial systems are only carried out with the authorization levels you configure. You are responsible for the approval and authorization settings on your account.
Acceptable Use
You agree not to misuse the platform, including by attempting to interfere with its operation, reverse engineer it, or use it to process content you do not have the right to process.
Intellectual Property
Duncet and its underlying technology are owned by us or our licensors. These Terms do not grant you any rights to our intellectual property except as needed to use the platform.
Confidentiality
We treat the content of your contracts and connected financial data as confidential, and will not disclose it except as described in our Privacy Policy or as required by law.
Security
We maintain safeguards designed to protect data processed by the platform, but no system is completely secure.
Availability
We aim to keep the platform available but do not guarantee uninterrupted access, and may modify or suspend features from time to time.
Disclaimers
The platform is provided “as is” without warranties of any kind. Duncet is not a law firm, accounting firm, bank, payment processor or regulated financial institution, and does not provide legal, accounting or financial advice.
Limitation of Liability
To the extent permitted by law, Duncet will not be liable for indirect, incidental or consequential damages arising from your use of the platform.
Indemnification
You agree to indemnify Duncet against claims arising from your misuse of the platform or breach of these Terms.
Termination
We may suspend or terminate access to the platform for violation of these Terms. You may stop using the platform at any time.
Changes
We may update these Terms from time to time. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
Governing Law
These Terms are governed by the laws of the jurisdiction in which Duncet operates, without regard to conflict of law principles.
